Synopsis
Soderquist (law, Vanderbilt U.) and Gabaldon (law, George Washington U.) provide an introduction to securities law that recognizes two modes of approach for a securities lawyer; a prospective mode in which lawyers structure transactions around the law or a retrospective mode where litigators attempt to structure the law to fit past facts about transactions. With these two modes in mind, they introduce their materials with hypothetical case material encouraging students to see the different approaches necessitated by the dual modes. The bulk of the chapters cover the various regulations of the Securities Act of 1933 and the Securities Exchange Act of 1934.
