We, the undersigned, all being persons of full age, and at least two-thirds being citizens of the United States, and at least one of us a resident of the State of New York, desiring to form a stock corporation, pursuant to the provisions of the Business Corporations Law of the State of New York, do hereby make, sign, acknowledge and file this certificate for that purpose, as follows: First. The name of the proposed corporation is insert corporate name. Second. The purposes for which it is to be formed are insert statement of objects. Third. The amount of the capital stock is insert the amount dollars. If any portion be preferred stock state the preferences. Fourth. The number of shares of which the capital stock shall consist is the number fixed must be such that the par value shall not be less than five dollars nor more than one hundred dollars each, and the amount of capital with which said corporation will begin business is state a definite amount, but not less than five hundred dollars. Fifth. Its principal business office is to be located in the city, village or town of, in the county of, State of New York. Sixth. Its duration is to be insert number of years or say perpetual, if desired. Seventh. The number of its directors is to be insert a definite number, but not less than three. Eighth.
